Terms & Conditions

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING OUR WEBSITE (THE “SITE”) OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT USE THE SITE OR SERVICES.

This Terms and Conditions agreement (“Agreement”, “Terms”) is a legal contract between you and DNA Heating & Cooling Services L.L.C. (“DNA Services,” “we,” “us,” “our”), located in Northeast, Philadelphia, Pennsylvania 19135. These Terms supersede all prior agreements.

The Site located at https://www.dnaservicespa.com/ is operated by DNA Services. By visiting the Site and/or purchasing from us, you engage in our “Service” and agree to these Terms, including additional terms and policies referenced here or available by hyperlink. We may update these Terms at any time by posting changes on the Site. Your continued use constitutes acceptance.

1. General Terms

  • You represent you are of the age of majority in your jurisdiction, or you have consent from a parent/guardian for any minor dependents.

  • You will not use the Site or Services for illegal or unauthorized purposes, or violate any applicable laws.

  • Do not transmit worms, viruses, or destructive code.

  • A breach of these Terms may result in immediate termination of access.

  • We may, at any time and without notice, restrict/suspend/terminate access; change or discontinue any part of the Site; remove content; deactivate/delete accounts; and set general usage limits. We are not liable for such actions.

  • Site communications may include service announcements and legal notices that you cannot opt out of.

  • Content (excluding credit card data) may be transferred unencrypted across networks. Credit card information is always encrypted in transit.

  • You may not reproduce, sell, resell, or exploit any portion of the Site without our written permission.

  • You may not reverse engineer or misuse content. No ownership rights are granted to you.

2. Creating an Account

Creating an account registers you as a Site member and subjects you to these Terms even if merely browsing. Keep your username/password secure; you are responsible for all activity under your account. Notify us of unauthorized use. You agree to:

  • (a) provide accurate, current, and complete registration data; and

  • (b) promptly update it.

We may suspend/terminate any account with false or incomplete information.

3. Conduct

You are solely responsible for content you post/transmit via the Services. You agree not to use the Services to:

  • Post unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable content;

  • Harm minors; impersonate others; misrepresent affiliations;

  • Infringe others’ IP rights; post content you lack rights to;

  • Send spam/unauthorized solicitations; upload viruses/malicious code;

  • Disrupt communications or networks; violate any laws;

  • Stalk/harass others; or collect/store personal data about others.

We may pre-screen, refuse, remove, or disclose content/account information as required by law or in good-faith to (a) comply with legal process; (b) enforce Terms; (c) address claims of rights violations; (d) respond to support requests; or (e) protect rights, property, or safety.

Security components protecting digital information may be used; do not attempt to circumvent usage rules.

4. Global Use; Export/Import Compliance

You agree to comply with all local rules and applicable U.S. export/import laws and sanctions programs. You represent that you are not on any government prohibition list and will not use the Services for restricted end uses.

5. Submitted Content & Contributions

We do not claim ownership of user content. By submitting content to publicly accessible areas, you grant DNA Services a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, perform, display, and distribute such content to provide/promote the area where it was placed, for as long as you remain a member (or as otherwise required to operate the Services).

Contributions/Feedback. By submitting ideas, suggestions, or proposals, you agree: (a) they are not confidential; (b) we have no obligations of confidentiality; (c) we may use/disclose them freely; (d) they become our sole property; and (e) no compensation is due.

6. Indemnity

You agree to indemnify and hold harmless DNA Heating & Cooling Services L.L.C., its affiliates, officers, employees, agents, partners, and licensors from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from your content, use of the Services, violation of these Terms, or infringement of any rights.

7. Commercial Reuse

You agree not to replicate, copy, trade, sell, resell, or exploit any part/use/access to the Site or Services for commercial purposes.

8. Modifications

We may modify, suspend, or discontinue the Services (in whole or part) at any time without liability.

9. Termination

You may terminate your account by submitting a request (contact details below). We may suspend/terminate your account or access without prior notice for reasons including: breach of Terms; law-enforcement requests; discontinuation/modification of Services; technical/security issues; inactivity; fraud/illegal activities; or nonpayment. Termination may include account access removal, deletion of credentials and data, and banning future use.

10. Links

Third-party links may be provided. We are not responsible for the availability, content, or practices of external sites and are not liable for any damages related to their use.

11. Proprietary Rights

The Services and Software contain proprietary and confidential material protected by IP laws. Advertiser and third-party content may be similarly protected. We grant you a personal, non-transferable, non-exclusive license to use object code on a single computer. You may not reverse engineer, modify, or access Services via means other than our provided interface.

12. Warranty Disclaimers

THE SITE, SERVICES, AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR THAT DEFECTS WILL BE CORRECTED. YOUR USE IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DNA SERVICES AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA, OR GOODWILL) ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICE GIVING RISE TO THE CLAIM.

14. Release

If you have a dispute with any user or third party, you release DNA Services (and its affiliates and personnel) from claims and damages of every kind, known and unknown, arising out of such disputes.

15. Notices

We may provide notices via email, postal mail, SMS/MMS, postings on the Site, or other reasonable means. Your acceptance of these Terms constitutes agreement to receive such notices.

16. Intellectual Property Rights

All DNA Heating & Cooling Services L.L.C. trademarks, service marks, logos, and brand features are our property. Do not use them without our prior written consent. We respond to claims of IP infringement; provide the required details (signature, work description, location/URL, contact info, and good-faith statements) to our Copyright Agent (see Contact).

17. Entire Agreement

These Terms constitute the entire agreement between you and DNA Services and supersede prior versions. You may be subject to additional terms when using certain Services or third-party offerings.

18. Choice of Law & Forum

These Terms are governed by the laws of the Commonwealth of Pennsylvania (without regard to conflict of laws). All disputes shall be brought in the state or federal courts located in Philadelphia County, Pennsylvania, and you consent to their jurisdiction and venue.

19. Waiver & Severability

Failure to enforce any provision is not a waiver. If any provision is held invalid, the remaining provisions remain in full force.

20. No Right of Survivorship; Non-Transferability

Your account is non-transferable and terminates upon your death. Upon receipt of a death certificate, we may terminate the account and delete contents.

21. Statute of Limitations

Any claim arising from or related to the Services or these Terms must be filed within one (1) year after the cause of action arises or be forever barred.

22. Violations

Report violations to DNA Heating & Cooling Services L.L.C. (see Contact).

23. Government Requests

We may access and disclose information as we deem necessary to comply with governmental requests, subpoenas, court orders, protect our systems, or ensure business integrity—consistent with our Privacy Policy.

24. Foreign Access

The Site is controlled from the United States. If you access it from outside the U.S., you are responsible for compliance with local laws and agree not to use content in any country or manner prohibited by applicable laws.

25. Errors, Inaccuracies & Omissions

We may correct errors or update information (including pricing, promotions, shipping charges, transit times, and availability) without prior notice. No update date should be taken to indicate that all information has been modified.
